Not unless you tell him - in reality being a Company Secretary gives you no power in the company - you simply are the one who has to make sure that all filing to Companies House occurs on time.

You can be a company director whilst in an IVA but it will affect your ability to guarantee any borrowings and you will also need to check the articles of association and let your fellow directors know about your IVA.
